Terms of Service
The agreement between you and Staid Health for use of our software and services.

1. AGREEMENT TO TERMS
By accessing and using Staid Health (“Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. DESCRIPTION OF SERVICE
Staid Health provides practice management, clinical documentation, and billing software for licensed mental health professionals (“Therapists”) and mental health practices (“Practices”). The Service is not a substitute for clinical judgment; it is a tool to support practice administration.
3. ELIGIBILITY
You must be:
- A licensed mental health professional (therapist, counselor, social worker, psychiatrist, or equivalent) or an authorized representative of a Practice on behalf of your organization; and
- At least 18 years old.
4. ACCOUNT & SECURITY
Account Creation: You are responsible for maintaining confidential login credentials and for all activity under your account.
Accurate Information: You agree to provide accurate, current information and update it as needed.
Password Security: You are responsible for protecting your password. Notify us immediately of unauthorized access.
Misuse: You agree not to share credentials, allow unauthorized access, or attempt to gain unauthorized access to the Service.
5. LIMITATIONS & DISCLAIMERS
“AS IS” BASIS: The Service is provided on an “as-is” basis. Staid Health disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose.
Data Loss Risk: Although we work diligently to maintain security measures, incidents can occur that are beyond Staid Health’s control. You are solely responsible for maintaining backups of Your Data.
Service Interruptions: Staid Health is not liable for service interruptions, downtime, or data loss due to events beyond our control (natural disasters, cyberattacks, etc.).
Not a Replacement for Professional Judgment: The Service is a tool to support your practice. You are responsible for all clinical and business decisions.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Staid Health is not liable for any indirect, incidental, consequential, special, or punitive damages
- Staid Health’s total liability is limited to fees paid in the prior 12 months
- This limitation does not apply to Staid Health’s gross negligence, willful misconduct, or violations of law
7. PAYMENT & BILLING
Subscription Fees: You agree to pay fees as stated in your subscription plan.
Billing: Fees are billed monthly/annually (as selected) on the day of the month the Service is started. I.e., (a) monthly on the 17th, if the Service is started on the 17th of a month or (b) annually on the 17th of the month started, if an annual subscription was selected. Payment is due upon invoice.
Late Payment: Accounts 30+ days past due may be suspended.
Refunds: Refunds are available only within 14 days of initial purchase and only for unused accounts. Ongoing subscriptions are non-refundable except as required by law.
Price Changes: We may change pricing with 30 days’ notice. Your consent to price changes by continuing to use the Service constitutes acceptance. Realistically, as costs outside of Staid Health increase, Staid Health will need to increase prices. Staid Health is committed to (a) doing everything it can to avoid any substantial price increases at a given time and (b) giving as much notice as possible ahead of any price increase.
8. USE OF SERVICE
Permitted Uses: You may use the Service to manage your practice, document sessions, track clients, manage billing, and related professional activities.
Prohibited Uses: You agree not to:
- Violate any law or regulation;
- Violate HIPAA, state privacy laws, or other health privacy requirements;
- Upload or transmit malware, viruses, or harmful code;
- Attempt to gain unauthorized access to the Service;
- Reverse-engineer, decompile, or disassemble the Service;
- Use the Service to compete with Staid Health or develop a competing product;
- Scrape, copy, or extract data for commercial purposes; and
- Harass, defame, or harm others through the Service.
HIPAA Compliance: Staid Health is HIPAA-compliant. Covered Entities and Business Associates using the Service must enter into a Business Associate Agreement (BAA). The BAA is available upon request and is incorporated by reference into these Terms.
9. YOUR DATA — YOUR OWNERSHIP, YOUR CONTROL
Data Ownership: All clinical data, patient records, session notes, and business information you input into Staid Health (“Your Data”) belong to you. You retain all ownership, rights, and control.
Your Rights Over Your Data:
- You can access, download, and export Your Data at any time in standard formats;
- You can request deletion of Your Data at any time;
- You are never required to keep data with Staid Health beyond your practice needs; and
- We do not restrict your ability to use your data elsewhere.
Data You Own Even After Cancellation: Upon account termination, Your Data remains yours. We will provide export capability for 30 days and delete Your Data within 60 days of cancellation, at your option.
We will never:
- Sell, license, or share Your Data with third parties;
- Use Your Data for marketing;
- Combine Your Data with other practices’ data, if not de-identified or redacted;
- Share Your Data with vendors, analytics companies, or insurers (except as required by law, at your explicit request, or as required to power the Services); or
- Monetize Your Data in any form.
In the event that we share your Data to power the Services, you will be made aware. We list all of our vendors and what we share on our website.
We comply with 21st Century Cures Act requirements that prohibit information blocking and ensure you have full control over your health data. Your data is accessible to you and authorized individuals. We will not condition access on payment or other restrictions.
We will only use your Data for training and/or AI model improvement, if you opt in. Opt in is found in the tool under “Profile”. Opting in will allow us to continuously improve our product.
10. TERMINATION
By You: You may cancel your account at any time via account settings or by contacting support.
By Staid Health: We may terminate your account if you violate these Terms or applicable law. We will provide notice and a 30-day cure period where practicable.
Upon Termination: Your data remains yours. You have 30 days to export it. We will delete your data within 60 days unless you request retention or we are required to retain it by law.
11. DISPUTE RESOLUTION & ARBITRATION
Informal Resolution: If a dispute arises, contact us first at [support email]. We will work to resolve it.
Mandatory Arbitration: ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE RESOLVED BY BINDING ARBITRATION, NOT IN COURT, EXCEPT AS PROVIDED BELOW.
Arbitration Details:
- Arbitration will be conducted by JAMS or AAA under their rules
- Each party bears its own costs; arbitrator fees are split equally
- Arbitration is confidential
- Arbitration takes place in [YOUR STATE], virtually or in person
Class Action Waiver: YOU AGREE NOT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST STAID HEALTH. All disputes must be brought in your individual capacity, not as a plaintiff or class member.
Exceptions to Arbitration:
- Small claims court disputes ($5,000 or less) may be brought in small claims court
- Either party may seek injunctive relief for intellectual property infringement or data breaches
30-Day Opt-Out: You may opt out of arbitration by sending written notice to Staid Health within 30 days of first accepting these Terms. Notice must include your name, address, email, and statement that you opt out. If you opt out, both parties may pursue claims in court.
12. INTELLECTUAL PROPERTY
Our IP: Staid Health owns all intellectual property in the Service (software, design, content, logos). You have a limited license to use it as permitted under these Terms.
Your IP: You retain ownership of Your Data and any content you create. By using the Service, you grant Staid Health a license to process, store, and transmit Your Data to provide the Service.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Staid Health from any claims, damages, or costs (including attorney fees) arising from:
- Your violation of these Terms
- Your violation of applicable law
- Your use of the Service
- Your data or content
- Claims by patients or third parties related to Your Data
14. CONFIDENTIALITY
Mutual Confidentiality: Both parties agree to keep confidential information confidential, except as required by law or court order.
Exception: We may disclose your information if required by law, court order, or government request, and we will notify you unless legally prohibited.
15. CHANGES TO TERMS
We may update these Terms. Changes are effective 30 days after posting. Continued use of the Service constitutes acceptance of updated Terms.
16. GOVERNING LAW
These Terms are governed by the laws of [YOUR STATE], without regard to conflict of law principles.

18. SEVERABILITY

These Terms, along with the Privacy Policy and any executed BAA, constitute the entire agreement between you and Staid Health regarding the Service.
